Summary

As a key member of Seagen leadership team, the Executive Director, Transactional Law will be responsible for all Legal Affairs related matters connected business and corporate development strategy and activities involving research, pre-clinical and early clinical stage opportunities. In addition, the role will provide support for strategic transactions involving later stage opportunities in collaboration with the VP, Transactional Law. The role will be responsible for legal due diligence and negotiation, drafting and subsequent interpretation of related transactions. The role will work closely with Corporate Development, Corporate Strategy & Alliances, Intellectual Property, Research, Clinical Development, Manufacturing and Finance. The role will be responsible for ensuring that Executive Management understand legal risks prior to approving related transactions./p>

Responsibilities:

  • As the responsible legal advisor to Corporate Development the role will participate in shaping and implementing strategy and activities related to identifying and evaluating research, pre-clinical and clinical stage opportunities
  • Responsible for quickly understanding business objectives as they emerge and change, and providing legal advice and support to meet them
  • Develop, evolve and implement methods, policies and procedures for delivering legal services (including decisions to use outside counsel or leverage other internal resources) to meet the needs of the applicable functional groups, and execute such strategy. Anticipate emerging needs of applicable functional groups
  • Legal advisor on cross-functional teams evaluating potential strategic transactions (including licensing, collaborations and M&A opportunities), responsible for the negotiation and drafting of related agreements and continuing support of such relationships, including interpretation and advice to applicable functional groups
  • In addition to strategic agreements, responsible for drafting, reviewing, interpretation, and negotiation of key commercial (i.e., vendor) contracts related to the applicable functional groups, in particular provisions affecting product rights or intellectual property rights
  • Be a resource to paralegals and other staff in the Transactional Law group
  • Proven ability to comprehend and creatively address complex issues relating to intellectual property, accounting, and tax as part of related transactions
  • Identify and develop trusted adviser relationship with clients and stakeholders in order to influence without authority
  • Proven ability to communicate complex issues to senior management in a clear and concise manner
  • Work creatively and analytically in a problem-solving environment to resolve issues, manage transactional risk and bring transactions to an acceptable close
  • Manage external legal resources to ensure timely delivery of reliable, high quality and actionable advice
  • Other responsibilities as assigned

Qualifications:

  • Minimum of 20 years of relevant legal experience, including experience as in-house counsel and U.S.-based public company experience
  • Experience in a fast-paced, entrepreneurial environment is critical, as is ability to “roll up sleeves” and work in a hands-on manner, as well as provide legal leadership and guidance
  • Experience in the pharmaceutical/biotechnology industry
  • Previous experience managing the work of others

Education:

  • JD degree and active member of Washington State Bar Association or eligible to promptly register as in-house counsel
